Terms of Service

1. Services

Groovespire provides social media promotion services tailored to enhance your music's visibility and reach. Our services include [refer to packages].

2. Intellectual Property

Intellectual property rights for content created or used in promotions remain with the respective owners (e.g., Groovespire, client, influencers, Partners).

3. Performance Standards

We strive to deliver effective promotions as outlined in the specific package purchased. Our aim is to get you music heard. This is achieved by using our network of House Music content creators, influencers, and promoters. We have no control over how the market responds to your music or how the algorithms react in response and therefore guaranteed metrics such as views, likes or comments is not achievable. 

4. Termination

Either party may terminate the agreement with a 30-day written notice period. Termination may occur due to breach of contract, material breach, or insolvency. Termination will prevent any further content being posted in relation to your music, however it will not reverse any content that has already been posted on any platforms. Termination will not automatically entitle you to a refund. However if you believe you are entitled to a refund, refer to our refund policy.

5. Governing Law and Dispute Resolution

The agreement shall be governed by English law. Any disputes arising from the agreement shall be resolved through mediation. If the dispute cannot be resolved through mediation within 30 days, either party may initiate arbitration. The arbitration shall be conducted in accordance with the LCIA Rules of Arbitration, and the seat of arbitration shall be London.

6. Limitation of Liability

Groovespire shall not be liable for any indirect, incidental, special, or consequential damages, including, but not limited to, loss of profits, goodwill, data, or use, arising out of or in connection with this Agreement or the services provided.   

However, Groovespire shall be liable for direct damages resulting from its gross negligence or wilful misconduct.

7. Indemnification

You agree to indemnify and hold Groovespire harmless from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the services, provided that such claims, losses, liabilities, damages, costs, and expenses are not caused by Groovespire's gross negligence or wilful misconduct.   

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications or agreements, whether oral or written.   

9. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.   

10. Amendments

Groovespire reserves the right to update this document at any time.

11. Client Obligations

You agree to provide all necessary information and materials as requested by Groovespire to ensure the successful fulfilment of the services. You are also responsible for ensuring that your content complies with all applicable laws and regulations as well as the target platform(s) community guidelines and terms of use policies.

12. Confidentiality

Both parties agree to maintain the confidentiality of any confidential information disclosed to each other in connection with this Agreement.

13. Intellectual Property Ownership

Unless otherwise agreed upon in writing, Groovespire shall retain ownership of all intellectual property rights created or used in the course of providing the services.

14. Independent Contractors

The parties agree that their relationship is that of independent contractors and neither party shall be considered an employee or agent of the other.

16. Data Retention

Groovespire will retain your personal information for as long as necessary to fulfil the purposes outlined in this policy or as required by law. This typically includes the duration of your active campaign and for a reasonable period thereafter to provide analytical updates and for historical records. However, you can opt out of data retention at any time. Information required for user login requirements will be retained.
